1. Your Acceptance
www.gamesegment.com and/or www.gamesegment.co.uk are websites operated and published by Orbcore Media International, LLC (herein referred to as "Orbcore Media"). BY USING AND/OR VISITING www.gamesegment.com and/or www.gamesegment.co.uk (herein referred to as "SITE" or "GameSegment" or "GameSegment Website"), including all Content available through the GameSegment Website, YOU SIGNIFY YOUR ASSENT TO BOTH THESE TERMS AND CONDITIONS AND THE TERMS AND CONDITIONS OF OUR PRIVACY NOTICE PUBLISHED AT http://www.gamesegment.com/main/privacy.cfm. THIS PRIVACY NOTICE IS INCORPORATED HEREIN BY REFERENCE.
2. Access
Orbcore Media hereby grants you permission to use the GameSegment Website as set forth within these Terms and Conditions, provided that your use of the GameSegment Website as permitted is solely for your personal, noncommercial use; that you will not copy or distribute any part of the GameSegment Website in any medium without Orbcore Media's prior written authorization; that you will not alter or modify any part of the GameSegment Website other than as may be reasonably necessary to use the GameSegment Website for its intended purpose; and that you will otherwise comply with the terms and conditions of these Terms and Conditions. You shall use the site for lawful purposes only.
3. Spidering
You agree not to use or launch any automated system, including without limitation, "robots," "spiders," "offline readers," etc. Notwithstanding the foregoing, Orbcore Media grants only the operators of public search engines (including but not limited to "Google", "Yahoo" and "Microsoft") full permission to use spiders to copy materials from the GameSegment Website for the purpose of creating publicly available searchable indices of the the GameSegment Website content. Orbcore Media reserves the right to revoke these exceptions either generally or in specific cases.
4. Intellectual Property Rights
The content of the GameSegment Website including without limitation, the text, software, scripts, graphics, "look-and-feel" colors and design, interactive features, etc (herein referred to as "Content") and the trademarks, service marks and logos contained therein (herein referred to as "Marks"), are owned either by Orbcore Media or the Game Publishers listed throughout the GameSegment Website, and are subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. The GameSegment website has been specially designed for presentation of gaming content in a unique format and appearance for our users. Neither you nor any third party shall make use of the contents of the GameSegment website in any manner that constitutes an infringement of our rights, including but not limited to copyright, or that has not been authorized by us. Content on the GameSegment Website is provided to you AS IS for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without express prior written consent of Orbcore Media. Orbcore Media reserves all rights not expressly granted in and to the GameSegment Website and the Content. You agree not to circumvent, disable or otherwise interfere with security related features of the GameSegment Website or features that prevent or restrict use or copying of any Content or enforce limitations on use of the GameSegment Website or the Content therein.
If you are a copyright owner or an agent thereof and believe that any content on the GameSegment Website or User Submission infringes upon your copyrights, you may submit a notification in accordance with the Digital Millennium Copyright Act ("DMCA") by providing Orbcore Media with the following information in writing:
(i) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
(ii) Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
(iii) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;
(iv) Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;
(v) A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
(vi) A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
Such notification shall be emailed to: customercare@gamesegment.com. You acknowledge that if you fail to comply with all of the requirements of this Section, your DMCA notice may not be valid.
Disclaimer: Orbcore Media does not intend to infringe upon the copyrights, trademarks, tradedress or any other intellectual property right of the publishers or distributors of video games or video game documentation. Orbcore Media also DOES NOT condone, support or encourage software piracy. We do not publish game documentation (this is already readily available on the web). We publish, and do not sell, quick reference sheets (also known as cheat sheets) for use during game play to enhance a game owner's experience and to shorten the learning curve for learning/remembering the controls to games. BY USING ANY OF THE MATERIAL ON THE GAMESEGMENT WEBSITE, you are representing that you are the legal owner of, or have legally rented a game. Otherwise you are not authorized to use any of the control quick reference sheets or cheat sheets published on the GameSegment website. 7. Indemnity
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS, GAMESEGMENT AND ORBCORE MEDIA INTERNATIONAL, LLC AND THEIR RESPECTIVE MEMBERS, PARTNERS, SUPPLIERS, LICENSORS, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS AND AGENTS, FROM ANY AND ALL CLAIMS (INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR DEFAMATION, TRADE DISPARAGEMENT, PRIVACY AND INTELLECTUAL PROPERTY INFRINGEMENT) AND DAMAGES (INCLUDING ATTORNEYS' FEES AND COURT COSTS) ARISING FROM OR RELATING TO ANY ALLEGATION REGARDING: (i) YOUR USE OF SITE; (ii) SITE'S USE OF ANY CONTENT OR INFORMATION YOU PROVIDE, (iii) INFORMATION OR MATERIAL POSTED OR TRANSMITTED THROUGH YOUR MEMBERSHIP ACCOUNT, EVEN IF NOT POSTED BY YOU; AND, (iv) ANY VIOLATION OF THIS AGREEMENT BY YOU. YOU SPECIFICALLY ACKNOWLEDGE THAT ORBCORE MEDIA SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
The GameSegment Website is controlled and offered by ORBCORE MEDIA from its facilities in the United States of America. ORBCORE MEDIA makes no representations that the GameSegment Website is appropriate or available for use in other locations. Those who access or use the GameSegment Website from other jurisdictions do so at their own volition and are responsible for compliance with local AND/OR international law.
8. Ability to Accept Terms and Conditions
You affirm that you are either more than 18 years of age, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and Conditions, and to abide by and comply with these Terms and Conditions. In any case, you affirm that you are over the age of 13, as the GameSegment Website is not intended for children under 13. If you are under 13 years of age, you are not authorized to use the GameSegment Website.
9. General
You agree that: (i) the GameSegment Website shall be deemed solely based in New York; and (ii) the GameSegment Website shall be deemed a passive website that does not give rise to personal jurisdiction over GameSegment or Orbcore Media, either specific or general, in jurisdictions other than New York. These Terms and Conditions shall be governed by the internal substantive laws of the State of New York, without respect to its conflict of laws principles. Any claim or dispute between you and Orbcore Media or GameSegment that arises in whole or in part from the GameSegment Website shall be decided exclusively by a court of competent jurisdiction located in New York City. These Terms and Conditions, together with the Privacy Notice at http://www.GameSegment.com/main/privacy.cfm and any other legal notices published by the GameSegment Website on the Website, shall constitute the entire agreement between you and Orbcore Media concerning the GameSegment Website. If any provision of these Terms and Conditions is deemed invalid by a court of competent jurisdiction, the invalidity of such provision SHALL NOT AFFECT THE VALIDITY OF THE REMAINING PROVISIONS OF THESE TERMS AND CONDITIONS, WHICH SHALL REMAIN IN FULL FORCE AND EFFECT. No waiver of any term of this these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term, and Orbcore Media's failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision. Orbcore Media reserves the right to amend these Terms and Conditions at any time and without notice, and it is your responsibility to review these Terms and Conditions for any changes. Your use of the GameSegment Website following any amendment of these Terms and Conditions will signify your assent to and acceptance of its revised terms. The section headings used herein are for convenience only and shall not be given any legal import. YOU AND ORBCORE MEDIA AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE GAMESEGMENT WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
